These Terms of Service ("Terms") govern your access to and use of Sereno's software, website, applications, and related services (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms.


1. Definitions

Customer means the organization purchasing or subscribing to the Services.

User means any individual authorized by a Customer to access the Services.

Customer Data means all data submitted to the Services by the Customer or its Users.


2. Services

Sereno provides a cloud-based maintenance management platform including:

  • Asset management
  • Work order management
  • Preventive maintenance
  • Inventory management
  • Reporting and analytics
  • AI-powered assistance
  • Related operational tools

We may improve, modify, or update the Services at any time.


3. Account Registration

You agree to:

  • Provide accurate information
  • Maintain account security
  • Keep credentials confidential
  • Promptly notify us of unauthorized access

You are responsible for all activities occurring under your account.


4. Subscription and Fees

Certain Services require payment.

Fees are billed according to the selected subscription plan.

Unless otherwise stated:

  • Fees are non-refundable
  • Taxes are additional
  • Payment obligations survive termination

We reserve the right to change pricing with reasonable notice.


5. Acceptable Use

You agree not to:

  • Violate any law or regulation
  • Interfere with the Services
  • Attempt unauthorized access
  • Upload malicious code
  • Reverse engineer the Services
  • Circumvent security measures
  • Abuse system resources

We may suspend accounts that violate these Terms.


6. Customer Data

Customers retain ownership of Customer Data.

You grant Sereno a limited right to process Customer Data solely to provide and improve the Services.

We do not acquire ownership rights in Customer Data.


7. Intellectual Property

Sereno and its licensors retain all rights, title, and interest in:

  • Software
  • Technology
  • Documentation
  • Trademarks
  • Service content

No ownership rights are transferred under these Terms.


8. Confidentiality

Each party agrees to protect confidential information disclosed by the other party using reasonable care.

Confidential information shall not be disclosed except as required by law.


9. Availability

We strive to maintain service availability but do not guarantee uninterrupted operation.

Maintenance, upgrades, outages, and events beyond our control may impact availability.


10. AI Features

Certain Services may incorporate artificial intelligence technologies.

AI-generated outputs:

  • May contain inaccuracies
  • Require human review
  • Should not be relied upon without verification

Customers remain responsible for decisions made using AI-generated information.


11. Warranties Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Sereno DISCLAIMS ALL WARRANTIES, INCLUDING:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Sereno SHALL NOT BE LIABLE FOR:

  • INDIRECT DAMAGES
  • INCIDENTAL DAMAGES
  • CONSEQUENTIAL DAMAGES
  • LOSS OF PROFITS
  • LOSS OF DATA
  • BUSINESS INTERRUPTION

Sereno'S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY THE CUSTOMER DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.


13. Indemnification

You agree to indemnify and hold harmless Sereno, its officers, employees, and affiliates from claims arising out of:

  • Your use of the Services
  • Violation of these Terms
  • Violation of applicable laws

14. Suspension and Termination

We may suspend or terminate access if:

  • Fees remain unpaid
  • These Terms are violated
  • Required by law

Customers may terminate their subscription in accordance with their subscription agreement.


15. Data Export

Upon termination, Customers may request export of Customer Data within a reasonable period, subject to technical limitations and applicable law.

After that period, data may be deleted in accordance with our retention policies.


16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Singapore unless otherwise agreed in writing.


17. Changes to the Terms

We may update these Terms from time to time.

Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
